1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Eden Suite, Inc., a Delaware corporation ("Eden Suite," "Company," "we," "us," or "our"), governing your use of the Eden Suite services, including our website at https://eden.so, mobile applications, desktop applications, and all related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access the Service.
If you are under 18 years of age but at least 13 years old, you may use the Service only with the consent and supervision of your parent or legal guardian. If you are under 13 years of age, you are not permitted to use the Service.
2. SERVICE DESCRIPTION
Eden Suite provides a comprehensive productivity platform that includes:
Cloud-based file storage and automatic transcription services
Web link capture and transcription capabilities
Document and note creation tools
AI-powered chat functionality
Cross-platform synchronization across web, mobile (iOS and Android), and desktop applications
Offline access capabilities across all platforms
Collaboration and sharing features
The Service utilizes third-party artificial intelligence services including OpenAI, Anthropic, Deepseek, Google Gemini, and xAI to power transcription and chat features. Features and functionality may vary based on your subscription tier.
3. ACCOUNT REGISTRATION AND RESPONSIBILITIES
3.1 Account Creation
To use the Service, you must create an account by providing accurate, current, and complete information. You must verify your email address to activate your account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
3.2 Age Requirements
You must be at least 13 years old to use the Service. Users between 13 and 18 years old must have parental or legal guardian consent. By creating an account, you represent that you meet these age requirements.
3.3 Account Types
We offer individual accounts and team plans. For team accounts, administrators can add other administrators or members with corresponding access levels. Team administrators have additional responsibilities for managing team members, controlling access permissions, and ensuring compliance with these Terms.
3.4 Account Restrictions
You may not share your account credentials with others. Each user must have their own account. You must notify us immediately of any unauthorized account use.
4. PAYMENT TERMS AND BILLING
4.1 Subscription Plans
The Service is offered through monthly or annual subscription plans. Pricing tiers are based on storage capacity and the number of AI-powered tasks/requests (including file uploads, link captures, and AI chat interactions).
4.2 Payment Methods
We accept credit and debit cards. By providing payment information, you authorize us to charge your payment method for all fees incurred.
4.3 Billing
Subscriptions automatically renew unless canceled. You will be charged at the beginning of each billing cycle.
4.4 Refunds and Cancellations
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. If the Service does not meet your expectations, you may request a refund for your last billing cycle. Refund requests are evaluated on a case-by-case basis.
5. INTELLECTUAL PROPERTY RIGHTS
5.1 Your Content
You retain all ownership rights to content you upload, create, or store using the Service ("User Content"). By using the Service, you grant Eden Suite a worldwide, non-exclusive, royalty-free license to use, store, process, reproduce, and display your User Content solely as necessary to provide the Service to you.
5.2 Eden Suite Property
The Service, including all software, designs, logos, trademarks, and other content provided by Eden Suite, remains our exclusive property. You may not copy, modify, distribute, sell, or lease any part of our Service or intellectual property without our express written permission.
5.3 Feedback
Any suggestions, feedback, or ideas you provide about the Service become the property of Eden Suite and may be used without compensation to you.
6. USER CONTENT AND CONDUCT
6.1 Content Responsibility
You are solely responsible for your User Content. You represent that you have all necessary rights to upload and use your User Content through the Service.
6.2 Prohibited Content
You may not upload, share, or create content that:
Is illegal or promotes illegal activities
Infringes on intellectual property rights
Contains malware or harmful code
Violates the privacy rights of others
Is fraudulent, deceptive, or misleading
Harasses, abuses, or threatens others
6.3 Content Sharing
You may share your content through public links, team collaboration features, or email sharing. You are responsible for managing access permissions and understanding that shared content may be accessed by others.
6.4 Content Monitoring
We do not actively monitor User Content but reserve the right to remove content that violates these Terms or applicable law.
6.5 Data Export

The Service integrates with third-party services for payment processing, AI capabilities, and other features. Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party services' functionality, privacy practices, or content.
9. DISCLAIMERS AND LIMITATIONS OF LIABILITY
9.1 Service Availability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE SERVICE OPERATION.
9.2 No Professional Advice
Content generated through AI features is not a substitute for professional advice. We are not responsible for decisions made based on AI-generated content.
9.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDEN SUITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
9.4 Offline Functionality
While we offer offline capabilities, certain features require internet connectivity. We are not responsible for limited functionality during offline use.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Eden Suite, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from:

Your use or misuse of the Service
11. TERMINATION
11.1 Termination by You
You may terminate your account at any time through your account settings or by contacting support.
11.2 Termination by Eden Suite
We may suspend or terminate your account for:
Violation of these Terms
Non-payment of fees
Suspected fraudulent or illegal activity
Extended period of inactivity
As required by law
11.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable period following termination, subject to our data retention policies and legal obligations.
12. DISPUTE RESOLUTION
12.1 Arbitration Agreement
Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration conducted by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall occur in Delaware.
12.2 Arbitration Exceptions
The following disputes are exempt from arbitration:
Small claims court actions
Injunctive relief for intellectual property violations
Disputes that cannot be arbitrated under applicable law
12.3 Class Action Waiver
You waive any right to participate in class actions, class arbitrations, or representative actions. Disputes must be brought individually.
12.4 Informal Resolution
Before initiating arbitration, parties must attempt to resolve disputes informally by contacting legal@eden.so.
13. GOVERNING LAW
These Terms are governed by Delaware law, without regard to conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts in Delaware.
14. CHANGES TO TERMS
We may modify these Terms at any time. Material changes will be notified via email or Service notification at least 30 days before taking effect. Continued use after changes constitutes acceptance of modified Terms.
15. PLATFORM-SPECIFIC PROVISIONS
15.1 Mobile Applications
When using our iOS or Android applications:
You must comply with applicable app store terms
App stores are not responsible for the Service
Updates may be required for continued use
Certain features may require device permissions
15.2 Desktop Applications
Desktop application use is subject to the system requirements and license terms provided during installation.
15.3 Offline Access
Offline functionality allows access to cached content. Synchronization occurs when connection is restored. Some features require internet connectivity.
16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms constitute the entire agreement between you and Eden Suite regarding the Service.
16.2 Severability
If any provision is found unenforceable, the remaining provisions continue in effect.
16.3 Waiver
Our failure to enforce any right or provision is not a waiver of that right or provision.
16.4 Assignment
You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
16.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.
